Nondisclosure Agreement

A nondisclosure agreement occurs when one party or both parties to the agreement promise not to reveal any confidential information that the other is giving to them during the transaction. This is commonly used in employment contracts, where the employee promises not to reveal any confidential information obtained during the course of employment to outside sources. The purpose of the nondisclosure agreement is essentially to establish a confidential relationship between the employer and the employee that can easily be proved in a court of law.

Confidentiality Agreement

For business purposes is one made between an employee and employer agreeing that certain types of information that pass between the parties shall not be revealed to any other party employed or otherwise.

Non Compete Covenant

A non-compete covenant, non-compete clause, or covenant not to compete is a provision that prevents a former employee from working for a competitor or opening a competing business for a specified period after leaving the company. These provisions are found in employment contracts and can protect companies.
